This Referral Program Agreement, along with other agreements related to your use of Stack AI services, is between your company ('you', 'your') and Stack AI, Inc. ('we', 'our', 'us') and governs your participation in the Stack AI Referral Program.
Company: Includes any Authorized Users authorized to participate in the Referral Program on behalf of the Company. The Company is fully responsible for the acts or omissions of its Authorized Users.
Services: Refers to the various services provided under Stack AI’s scope, governed by the terms provided at Stack AI Terms of Service.
1. Agreement to Terms
By requesting or sending a referral, you accept and agree to be bound by this Agreement.
2. Changes to Terms or Services
We may modify this Agreement at any time, as reflected on our site. Continued participation after changes indicates acceptance of the new terms.
3. Referral Program Eligibility
To participate, you must:
Be a Stack AI customer in good standing.
Ensure all Authorized Users distributing referrals are at least 18 years old.
4. Qualifying Referrals
Referred customers must be businesses engaging in commercial activity for the sale of goods and/or services. Referral Bonuses will only be awarded for Qualifying Referrals. A 'Qualifying Referral' must meet all of the following conditions:
The referred customer is not registered, and was not previously registered, with Stack AI under any email address or alias;
The referred customer is approved to use Stack AI Services;
The referred customer completes the registration process with Stack AI. If a referred customer registers with Stack AI using any other method, the registration will not count as a Qualifying Referral.
You and your Authorized Users may not use any paid advertisement to promote the Referral Program, including but not limited to, paid search marketing, advertisements,
affiliate networks, paid email campaigns, paid social campaigns, or other similar methods. You may not use a Referral to sign up for
Stack AI's Services for Company, its affiliated entities, or yourself. By participating in the Referral Program, you represent and warrant
that (i) each of your Authorized Users has a personal relationship with his/her referral or otherwise has the necessary consents to submit
their information to the Referral Program; and (ii) each of your Authorized Users will comply with all applicable Stack AI policies and
terms, and any and all applicable laws or regulations.
5. Redemption Process
You may be eligible to earn a Referral Bonus for each qualified referral that you refer. The Referral Bonus changes from time to time and will be set forth on the Referral section.
You will receive a Referral Bonus when a Qualifying Referral is made. You will not be notified of whether a referred
customer who has used your Referral has signed up for Stack AI Services. You will receive a notification,
which may be in the form of a Referral Bonus delivered by a third party, if the Referral Bonus criteria are met.
Please allow 8 weeks to receive the Referral Bonus. Your use of the Referral Bonus may be governed by additional
or third party terms and conditions. Please note that the Referral Bonus
may be issued to you or one of your Authorized Users.
6. Privacy
Any information obtained in connection with the Referral Program will be collected, processed and used in accordance with Stack AI's Privacy Policy.
7. Intellectual Property
Stack AI is the owner of all intellectual property related to the Referral, including and without limitation
the Services and related technology; Stack AI Confidential Information; and copyrights, patents, trade secrets,
trade or service marks, brands, logos, and other intellectual property incorporated into each of the foregoing
(the 'Stack AI Property'). Stack AI grants you a limited, nonexclusive, revocable, and nontransferable
license to use Stack AI Property solely as permitted by this Referral Program Agreement.
8. Additional Terms and Restrictions
The Referral Bonus may qualify as taxable income for you. You are responsible for any federal,
state or other taxes resulting from your participation in the Referral Program.
Stack AI will not be obligated to report federal and state taxes to relevant authorities,
but may report such income as required by law.
9. Reservation of Rights
Stack AI reserves the right to withhold, deny or cancel any Referrals Bonus and/or terminate your access to the
Stack AI Services (without any obligation to refund any prepaid fees for unused Services) if we,
in our sole discretion, deem the award of any Referral Bonus as fraudulent, abusive, unethical,
suspicious or otherwise inconsistent with these Referral Program Terms, the Platform Agreement or
any other applicable laws or regulations.
10. Termination
Stack AI reserves the right to suspend or terminate the Referral Program at any time or to change this Referral
Program Agreement at any time and for any reason in our sole discretion upon Notice to you or by deactivation of
the Referral Program. Your eligibility for the Referral Program and the eligibility of any referrals is determined
in the sole discretion of Stack AI.
11. Entire Agreement
This Referral Program Agreement constitutes the entire understanding between Company and Stack AI for
the subject matter described and no other agreements, representations, or warranties other than those
provided in this Referral Program Agreement will be binding unless in writing and signed by you and Stack AI.
